Terms of Service for HappyChef

1. Acceptance of These Terms

These Terms of Service are a legal agreement between you and LDA Prep Labs LLC, the operator of HappyChef. The words "HappyChef," "we," "us," and "our" refer to LDA Prep Labs LLC and the HappyChef app, website, features, and related services. The words "you" and "your" refer to the person using HappyChef or creating an account.

By accessing or using HappyChef, creating an account, importing or saving recipes, creating meal plans, using grocery lists, subscribing, starting a free trial, or contacting support, you agree to these Terms. If you do not agree, do not use HappyChef.

You also agree to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect information.

2. Eligibility

You may use HappyChef only if you can legally agree to these Terms and are not prohibited from using the services under applicable law. If you use HappyChef on behalf of another person, household, company, or organization, you represent that you have authority to do so.

HappyChef is intended for a general audience and is not directed to children under 13. If you are under the age of majority where you live, you may use HappyChef only with permission and supervision from a parent or legal guardian.

3. Accounts and Security

Some features require an account. You agree to provide accurate information, keep your account information reasonably current, and keep your sign-in credentials secure. You are responsible for activity that happens through your account unless that activity results from our failure to use reasonable security measures.

You should notify us promptly at [email protected] if you believe your account has been accessed without permission or if you need help with account security.

We may require verification before making account changes, providing support, restoring access, exporting data, or deleting an account.

4. HappyChef Features

HappyChef may include features for saving recipes, importing recipes from links, photos, text, or manual entry, organizing recipes, planning meals, building grocery lists, using guided cooking, setting dietary preferences, sharing recipes, connecting with friends, managing households, and receiving personalized or automated suggestions.

Features may change over time. We may add, remove, limit, modify, suspend, or discontinue features, plans, limits, integrations, or content at any time. We may also make some features available only to certain users, plans, regions, devices, app versions, or test groups.

HappyChef is designed to help with planning, shopping, organizing, and cooking. It is not a medical, nutrition, allergy, safety, legal, financial, or professional advisory service.

5. Food, Allergy, Nutrition, and Safety Disclaimers

Recipes, meal plans, grocery lists, dietary labels, ingredient suggestions, substitutions, serving estimates, cooking steps, and other food-related information may be incomplete, inaccurate, unavailable, or unsuitable for your personal needs. You are responsible for reviewing all recipes, ingredients, labels, substitutions, grocery items, preparation steps, cooking temperatures, serving sizes, and dietary information before buying, preparing, serving, or eating food.

If you or someone you cook for has allergies, intolerances, medical conditions, pregnancy-related restrictions, medication interactions, dietary restrictions, religious restrictions, food safety concerns, or other special requirements, you are responsible for verifying all food, ingredient, label, and preparation information independently. HappyChef does not guarantee that a recipe, meal plan, grocery list, or suggestion is allergen-free, medically appropriate, nutritionally complete, safe, or suitable for any individual.

You should consult appropriate professionals for medical, nutrition, or dietary advice. You should also follow official food safety guidance, package instructions, product labels, appliance instructions, and your own judgment when preparing food.

6. User Content

"User Content" means information, recipes, images, text, notes, links, meal plans, grocery lists, dietary preferences, comments, profile details, household information, support messages, and other content or information that you submit, upload, import, save, generate, share, or otherwise provide through HappyChef.

You keep any ownership rights you have in your User Content. By using HappyChef, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, process, format, display, transmit, sync, back up, analyze, modify, adapt, use, and otherwise handle User Content as reasonably needed to:

• provide and operate HappyChef
• save, organize, import, parse, display, and sync recipes
• create meal plans, grocery lists, and guided cooking experiences
• support sharing, friend, household, and collaboration features
• provide support, troubleshoot issues, and protect the service
• improve, test, analyze, and develop HappyChef features
• comply with law and enforce these Terms

You represent that you have the rights and permissions needed to provide your User Content and to grant the license above. You are responsible for your User Content and for any consequences of submitting, importing, saving, or sharing it.

7. Recipe Imports and Third-Party Content

HappyChef may allow you to import, save, summarize, transform, or organize recipes or other content from websites, photos, text, files, links, or other sources. You are responsible for ensuring that you have the right to import, save, use, and share any content you provide to HappyChef.

HappyChef may not accurately capture all ingredients, steps, notes, quantities, cooking times, images, source information, or attribution. You should review imported recipes and any automatically processed recipe information for accuracy before relying on it.

Third-party recipes, websites, products, services, brands, stores, names, images, links, and other content belong to their respective owners. We do not control third-party content and are not responsible for its accuracy, legality, availability, safety, or quality.

8. Sharing, Friends, and Household Features

HappyChef may include features that let users find one another, connect, share recipes, share profile information, collaborate, or participate in household-style features. If you use these features, certain information may be visible to other users depending on your settings, the feature, and the choices you make.

You are responsible for deciding what to share, who to connect with, and whether information you save or share is appropriate for the people who may see it. Do not share content that you do not have permission to share, that violates another person's rights, or that you want to keep private.

We may add, modify, limit, or remove social, friend, sharing, and household features over time. Some sharing behavior may depend on app settings, account settings, feature availability, and future updates.

9. Automated and Personalized Features

HappyChef may use automated systems, personalization, machine-assisted processing, rules, ranking, recommendations, parsing, or similar methods to help generate or improve recipes, meal plans, grocery lists, dietary organization, summaries, suggestions, and support experiences.

Automated and personalized outputs may be incomplete, incorrect, outdated, or unsuitable. You are responsible for reviewing outputs before relying on them, especially where food safety, allergies, nutrition, costs, timing, availability, religious restrictions, personal preferences, or household needs matter.

10. Acceptable Use

You agree not to use HappyChef to:

• violate any law, regulation, court order, or third-party right
• submit, upload, import, save, or share unlawful, harmful, abusive, deceptive, harassing, hateful, sexually exploitative, or infringing content
• impersonate another person or misrepresent your identity or affiliation
• access another user's account, data, recipes, or content without permission
• interfere with, disrupt, reverse engineer, scrape, overload, or abuse HappyChef or related systems
• attempt to bypass paywalls, subscription requirements, usage limits, security measures, or access controls
• use HappyChef to send spam, malware, phishing, or unwanted communications
• copy, resell, sublicense, or commercially exploit HappyChef except as expressly permitted by us
• use HappyChef in a way that could harm us, other users, service providers, app stores, payment platforms, or the public

We may investigate suspected violations and may remove content, limit features, suspend accounts, terminate accounts, or take other action we reasonably believe is appropriate.

11. Subscriptions, Trials, Billing, and Cancellation

HappyChef may offer free features, paid features, subscriptions, free trials, promotional offers, introductory prices, renewals, and other plans. The available plans, features, prices, trial lengths, renewal terms, eligibility rules, and billing periods may vary by platform, region, user, timing, app version, or offer.

If you purchase a subscription through an app store or payment platform, your purchase is billed by that store or platform, and its terms, billing rules, cancellation rules, refund rules, tax rules, trial rules, and subscription management tools may apply. You are responsible for reviewing the purchase screen and subscription terms before confirming a purchase.

Unless cancelled before renewal, subscriptions may automatically renew for additional billing periods. If you do not want future charges, you must cancel through the store, platform, or subscription management method that billed you. Deleting the app, deleting your account, uninstalling HappyChef, or not using HappyChef may not cancel a subscription.

We may change subscription features, pricing, plan names, trial offers, promotional offers, or eligibility rules over time. Any changes will be handled according to applicable law and the rules of the store or payment platform that processed the purchase.

Refunds, credits, prorations, and billing adjustments may be handled by the store or payment platform that processed the purchase. We do not guarantee refunds or credits unless required by applicable law or expressly stated by us in writing.

12. Access, Availability, and Changes

We work to provide a useful and reliable service, but HappyChef may be unavailable, delayed, interrupted, inaccurate, or limited at times. Availability may depend on your device, operating system, internet connection, region, app version, account status, plan, store status, service providers, and other factors.

We may modify, suspend, discontinue, or limit any part of HappyChef at any time, including free features, paid features, imports, limits, integrations, support channels, social features, account features, storage, or content. We are not required to maintain any particular feature forever.

13. Intellectual Property

HappyChef, including its software, design, interfaces, names, logos, trademarks, service marks, graphics, text, layout, workflows, code, features, and other materials, is owned by LDA Prep Labs LLC or its licensors and is protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use HappyChef for your personal, household, or other permitted use through the app or website we make available. We reserve all rights not expressly granted to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, attempt to extract source code from, or create derivative works based on HappyChef except to the extent allowed by applicable law or expressly permitted by us in writing.

14. Feedback

If you send us feedback, ideas, suggestions, bug reports, feature requests, designs, comments, or other input about HappyChef, you grant us permission to use, copy, modify, publish, distribute, and otherwise exploit that feedback without restriction or compensation to you. We are not required to use feedback or keep it confidential unless we agree in writing.

15. Account Suspension and Termination

You may stop using HappyChef at any time. You may also use our account deletion request page or contact us about account deletion or account support at [email protected].

We may suspend, limit, or terminate access to HappyChef if we reasonably believe you violated these Terms, created risk or possible legal exposure, abused the service, harmed another user, interfered with HappyChef, failed to pay required charges, or used HappyChef in a way that could harm us, users, service providers, app stores, payment platforms, or the public.

Sections that by their nature should survive termination will continue to apply, including sections about User Content licenses, subscriptions and billing, intellectual property, disclaimers, limitation of liability, indemnity, dispute-related terms, and miscellaneous provisions.

16. Third-Party Services and Links

HappyChef may interact with third-party services, stores, payment platforms, websites, links, content, sign-in methods, analytics, notifications, hosting providers, support tools, or other services. We do not control third-party services and are not responsible for their content, policies, terms, availability, security, billing practices, or performance.

Your use of third-party services may be governed by their own terms and privacy policies. You are responsible for reviewing and complying with those terms when they apply.

17. Disclaimers

To the fullest extent permitted by law, HappyChef is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

We do not guarantee that HappyChef will be uninterrupted, error-free, secure, accurate, complete, current, compatible with your device, or suitable for your needs. We do not guarantee that recipes, meal plans, grocery lists, imports, suggestions, automated outputs, dietary labels, nutrition information, serving estimates, or cooking instructions will be accurate, safe, complete, or appropriate.

Some jurisdictions do not allow certain disclaimers, so some of the disclaimers above may not apply to you.

18. Limitation of Liability

To the fullest extent permitted by law, LDA Prep Labs LLC and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, property damage, food illness, allergic reaction, dietary harm, or other losses arising from or related to your use of or inability to use HappyChef.

To the fullest extent permitted by law, our total liability for any claim arising from or related to HappyChef or these Terms will not exceed the greater of the amount you paid us for HappyChef during the three months before the event giving rise to the claim or one hundred U.S. dollars.

Some jurisdictions do not allow certain limitations of liability, so some of the limitations above may not apply to you.

19. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LDA Prep Labs LLC and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of HappyChef, your User Content, your violation of these Terms, your violation of law, your violation of third-party rights, or your food, cooking, shopping, sharing, or household decisions.

20. App Stores and Platform Terms

If you download or use HappyChef through an app store or platform, that store or platform may have its own terms, rules, billing requirements, usage rules, and support processes. Those terms may apply in addition to these Terms. If these Terms conflict with mandatory store or platform rules, the applicable store or platform rules may control to the extent of the conflict.

The app store or platform through which you downloaded HappyChef is not responsible for providing maintenance or support for HappyChef unless it separately agrees to do so.

21. Governing Law and Disputes

To the fullest extent permitted by law, these Terms and any dispute arising from or related to HappyChef are governed by the laws applicable to LDA Prep Labs LLC, without regard to conflict of law principles. You agree to first contact us at [email protected] and try to resolve any dispute informally before starting a formal claim, unless applicable law allows or requires otherwise.

Nothing in these Terms limits rights you may have under consumer protection laws that cannot be waived by contract.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes in HappyChef, our business, subscriptions, features, legal requirements, or operations. If we make changes, we will post the updated Terms and update the "Last updated" date. If required by law, we will provide additional notice or obtain consent.

Your continued use of HappyChef after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using HappyChef.

23. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms we present for a specific feature, plan, offer, or service, make up the entire agreement between you and us regarding HappyChef. If any part of these Terms is found unenforceable, the remaining parts will remain in effect. Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign or transfer these Terms or your rights under them without our consent. We may assign or transfer these Terms as part of a merger, acquisition, financing, sale of assets, corporate reorganization, or by operation of law.
